Blue Bucket Services Limited – Terms and Conditions of Cleaning Services

These Terms and Conditions (“Terms”) form part of the service agreement between the Client and Blue Bucket Services Limited (“the Company”) for the provision of commercial and/or residential cleaning services. By engaging the Company’s services, the Client agrees to be bound by these Terms. Unless we have agreed otherwise in writing, these terms and conditions (‘Terms’) apply to all purchases of Goods and Services

1. DEFINITIONS

“Client” means the individual, business, or organisation engaging the services of the Company.“Services” means the cleaning and associated services described in the proposal, quote, or service agreement.“Contract” means the formal agreement, written or implied, under which services are provided.“Site” means the premises where services are carried out.

2. COMMENCEMENT & DURATION

The Contract will commence on the agreed start date and continue until terminated under clause 21. Services may be ongoing or for a fixed term. Continuation of services past the initial term constitutes acceptance of ongoing agreement under these Terms.

3. SERVICE DELIVERY

The Company agrees to provide cleaning services as outlined in the agreed Scope of Works. This may include general cleaning, sanitisation, floor care, window cleaning, high-touchpoint cleaning, waste removal, consumables restocking, and other services as specified.All services will be delivered with due care, skill, and diligence, following industry best practices and health and safety regulations.

4. ACCESS & CLIENT RESPONSIBILITIES

The Client is responsible for providing full access to the premises at the agreed service times, including any required keys, codes, or security instructions.Failure to provide access may result in charges for wasted time or delayed service delivery.The Client must ensure the site remains a safe working environment, free of hazards, or provide appropriate notice of any risks.

5. STAFF & SUPERVISION

All employees and contractors of the Company are reference-checked, trained, and supervised. The Company reserves the right to change staffing as required without affecting service quality.The Client agrees not to directly or indirectly employ or engage any of the Company’s personnel during or within six (6) months after the termination of services without written consent. Breach of this clause may incur a placement or recruitment fee equal to three (3) months of the staff member’s wages.

6. CLEANING MATERIALS & EQUIPMENT

The Company will supply all standard cleaning materials, equipment, and PPE unless otherwise agreed. Any request for the use of specific products, sustainable alternatives, or Client-supplied items must be discussed and documented. The Company accepts no liability for faults or defects in Client-supplied equipment or materials.

7. QUALITY CONTROL

The Company will conduct periodic audits, supervisor reviews, and client feedback checks to ensure consistent quality and performance. If service standards fall below expectations, the Client must notify the Company in writing within 24 hours of the issue to allow appropriate corrective action.

8. HEALTH & SAFETY

The Company complies with the Health and Safety at Work Act 2015. Risk assessments and site-specific safety procedures will be implemented where necessary. Clients must inform the Company of any hazardous materials, restricted areas, or changes to the premises that may pose risk to staff. The Company may suspend work on-site if staff safety is compromised.

9. DAMAGE & LIABILITY

While all care is taken, accidental damage can occur. Any incident caused by Company personnel must be reported in writing within 24 hours of discovery. The Company’s liability is limited to the cost of repair or replacement of the item damaged, and will not exceed the amount covered by its insurance policy. The Company is not responsible for wear and tear, pre-existing damage, or items not secured or properly maintained by the Client.

10. INSURANCE

The Company maintains Public Liability Insurance, Employers’ Liability Insurance, and WorkCover. Proof of insurance can be provided upon request. The Company is not liable for any indirect, consequential, or special loss or damage, including business interruption or data loss.

11. PRICING, INVOICING & PAYMENT

Prices quoted are exclusive of GST unless otherwise stated. Invoices are issued monthly or as agreed. Payment terms are 20th following month from invoice date unless otherwise arranged in writing. Late payments may incur interest at 2% per month and an administration fee of $25 per reminder. The Company reserves the right to suspend services for overdue accounts. All invoicing disputes must be submitted in writing within 5 working days of the invoice issue date.

12. ADJUSTMENTS & VARIATIONS

The Company reserves the right to adjust service charges due to changes in wage rates, product costs, fuel, or scope of work. Clients will be notified in writing at least 30 days prior to any rate change. All variations to the contract must be documented in writing and approved by both parties.

13. HOLIDAYS & SCHEDULING

Service delivery may be affected by public holidays, emergencies, or force unforeseeable events e.g. staff sickness The Company will endeavour to reschedule services where practical.Advance notice will be provided where scheduled work is affected. The Client may request alternative dates with at least 72 hours' notice.

14. CANCELLATIONS

The Client must provide a minimum of 2 hours’ notice for any temporary cancellation. Failure to do so will result in the full fee being charged.Permanent cancellations must follow the termination process in Clause 21.

15. CONSUMABLES

Where included, consumables (e.g., toilet paper, hand soap, paper towels, bin liners) will be restocked and billed monthly based on usage. Pricing may vary depending on product availability or substitution requirements.

16. CONFIDENTIALITY

Both parties agree to maintain the confidentiality of all information, documentation, and records obtained during the course of the agreement. This clause remains effective beyond the termination of the contract.

17. DATA PROTECTION

The Company will collect and store Client contact details and billing information only for operational and legal compliance purposes. Personal data will be handled in accordance with the New Zealand Privacy Act 2020.

18. COMPLAINTS PROCESS

Complaints must be submitted in writing to the Company’s management team within 48 hours of the issue.The Company will acknowledge receipt within 1 business day and resolve the matter within 3–5 business days, where practicable.

19. UNFORESEEABLE EVENTS

The Company will not be held liable for any failure or delay in performance due to events beyond its control including, but not limited to, natural disasters, civil unrest, strikes, pandemics, or breakdowns in transportation or supply chains.

20. DISPUTE RESOLUTION

Should any dispute arise, both parties agree to attempt resolution through negotiation and mediation before pursuing legal action.This agreement is governed by the laws of New Zealand. Any legal proceedings must be brought within the jurisdiction of New Zealand courts.

21. TERMINATION

Either party may terminate this agreement by providing thirty (30) days’ written notice. The Company, however, reserves the right to terminate this agreement immediately in circumstances where the Client fails to make payment on time after repeated reminders, where there is a breach of health and safety compliance, or where staff are subjected to abuse or unsafe working conditions. Final invoices will be issued for all completed work and any outstanding charges. If the Client terminates the agreement and fails to provide thirty (30) days’ written notice, the Company reserves the right to charge the equivalent of thirty (30) days of service as payment in lieu of notice, which will be included in the final bill.

22. ENTIRE AGREEMENT

These Terms and any formal proposal, quote, or service schedule form the full agreement between the Client and Blue Bucket Services Limited. No other representations or warranties shall apply unless in writing and signed by both parties.
